Terms of service

These terms are the agreement between MindDigitize SAS ("we", "us") and the organisation you represent ("you") when you use the MindDigitize service. By creating an account, accepting an offer, or using the platform, you agree to them.

If you signed a separate Master Services Agreement (MSA) with us, the MSA controls and these terms fill in any gaps.

The service

MindDigitize provides an indoor mapping and wayfinding platform — an editor for authoring venue floor plans, a routing API, a public 3D viewer, and an analytics dashboard. The specifics of what your plan includes are described on the pricing page and (for paying customers) in your subscription confirmation email.

Your account

You're responsible for keeping your credentials safe. You're responsible for the actions of the users you authorise. Notify us at security@minddigitize.com if you suspect a credential has been compromised; we will help you rotate it.

You may not share an account between unrelated organisations, and you may not use the service to operate venues you don't have lawful authority over.

Acceptable use

You agree not to use MindDigitize to:

• Host content that violates law in the jurisdictions you operate in.
• Probe, scan, or attempt to bypass the security boundaries of the service.
• Submit code or data designed to disrupt the platform for other customers.
• Process personal data without a lawful basis under your local data-protection law.
• Compete with the platform by reverse-engineering, decompiling, or rebuilding it from observed behaviour.

The first three are grounds for immediate suspension. The fourth and fifth are grounds for termination.

Your data

You retain ownership of all data you submit (CAD files, POIs, routing weights, analytics events). You grant us a limited license to process this data to provide the service. We do not use your data to train models, to enrich datasets for other customers, or for any purpose outside the service.

You may export your data at any time; on cancellation we retain it for 90 days then delete it. See the privacy policy for the full retention schedule.

Payment

Subscriptions are billed monthly or annually in advance via Stripe. Overage on metered limits (MAUs, API calls) is billed at the rates published on the pricing page. Invoices are due on receipt; failed payments accrue late-payment interest at the legal rate in your jurisdiction after a 30-day grace period.

You may upgrade at any time (prorated, billed immediately) and downgrade at the next renewal. You may cancel at any time — monthly subscriptions stop at the end of the current period, annual subscriptions continue to the end of the prepaid period.

Termination

You may terminate at any time via the cancellation flow in the editor or by emailing support@minddigitize.com. We may terminate or suspend your access for material breach of these terms, with notice and a reasonable opportunity to cure (except for acceptable-use violations, which are immediate).

On termination, your data is retained for 90 days for restoration, then permanently deleted.

Service availability

Scale and Enterprise tiers include a 99.95% / 99.99% uptime SLA respectively. Service credits for SLA misses are documented in your subscription confirmation. The Starter and Growth tiers are provided on a best-effort basis without an SLA, though we generally exceed 99.95% across all tiers.

We may take the service offline briefly for planned maintenance, announced at least 24 hours in advance via the in-product status banner and via email to subscription admins.

Warranty disclaimer

The service is provided "as is", except for the limited warranties that apply where you are a consumer under a non-waivable consumer-protection law. We don't warrant that the service will be uninterrupted, error-free, or fit for a particular purpose beyond the documented capabilities.

Limitation of liability

Our total liability under these terms is capped at the fees you paid us in the 12 months preceding the claim. We're not liable for indirect, incidental, consequential, or punitive damages. Nothing in these terms limits liability that cannot be limited under the law applicable to you.

Governing law

These terms are governed by the laws of France. Disputes are resolved exclusively in the courts of Paris, unless your local mandatory law gives you the right to sue in your home jurisdiction.

Changes

We may update these terms. Material changes are announced 30 days in advance via in-product notice and email to subscription admins. Your continued use of the service after the effective date constitutes acceptance. If you don't accept a material change, you may cancel and receive a prorated refund for the unused portion of an annual subscription.
